We provide web development, AI development, chatbot training, consulting and related digital services. The scope, deliverables and timelines for any paid engagement are documented in a separate written proposal, which forms part of these Terms.

02

Quotes and payment

  • Quotes are valid for 30 days and are in South African Rand (ZAR).
  • A 50% deposit is required before work begins. The balance is due on delivery unless otherwise agreed in writing.
  • Invoices are payable within 7 days. Late payments accrue interest at the prime lending rate plus 2% per annum.
  • Third-party costs, including hosting, domains, APIs and stock media, are excluded unless expressly stated in the proposal.
03

Client responsibilities

You agree to supply content, credentials, feedback and approvals in a timely manner. Delays caused by the client may extend timelines and, if material, incur additional fees.

04

Revisions and scope

Each engagement includes the revision rounds specified in the proposal. Work outside the agreed scope is quoted and billed separately as a change order.

05

Intellectual property

On full payment, ownership of the final custom deliverables transfers to the client. We retain ownership of pre-existing tools, frameworks and libraries. We may display non-confidential work in our portfolio unless otherwise agreed in writing.

06

AI-specific terms

  • AI outputs are probabilistic and may contain errors. Review outputs before relying on them for business, legal, medical or financial decisions.
  • You retain ownership of the data you supply. We will not use your data to train foundation models.
  • Third-party AI providers, including OpenAI, Anthropic and Google, are subject to their own terms.
07

Warranties and liability

The Services are provided "as is". To the maximum extent permitted by law, our aggregate liability is limited to the fees paid in the three months preceding the claim. We are not liable for indirect, incidental or consequential damages.

08

Each party will keep the other party's non-public information confidential and use it only to perform its obligations under these Terms.

09

Data protection (POPIA)

We process personal information in accordance with the Protection of Personal Information Act, 2013 (South Africa). See the Privacy Policy for full details.

10

Termination

Either party may terminate on 14 days' written notice. On termination, you must pay for all work completed. Deposits are non-refundable once work has commenced.

11

Governing law

These Terms are governed by the laws of the Republic of South Africa. Disputes fall under the exclusive jurisdiction of the Western Cape High Court.

12
